Terms and Conditions
Valid from: January 2024
§ 1 Scope of Application
These General Terms and Conditions (GTC) apply to all contracts between Streit Consulting (hereinafter "Contractor") and the Client for consulting services, automation solutions and related services.
§ 2 Subject of Contract
The Contractor provides consulting and implementation services in the field of AI-supported process automation. The exact scope of services is specified in the respective order confirmation or consulting contract.
§ 3 Service Provision
The Contractor provides services to the best of their knowledge and belief. Services are provided remotely or on-site at the Client's location. Dates and deadlines are only binding if agreed in writing.
§ 4 Cooperation Obligations
The Client provides all information, access and resources required for service provision in a timely manner. Delays due to lack of cooperation are at the Client's expense.
§ 5 Remuneration
Remuneration is based on agreed hourly or daily rates or the agreed fixed price. All prices are exclusive of statutory VAT. Travel expenses are charged separately according to expenditure.
§ 6 Payment Terms
Invoices are payable within 14 days of the invoice date without deduction. In case of payment delay, default interest at the statutory rate will be charged.
§ 7 Confidentiality
Both parties undertake to keep all confidential information obtained in the course of cooperation secret and to use it only for the agreed purposes.
§ 8 Liability
The Contractor is liable for intent and gross negligence. Liability for slight negligence is excluded unless essential contractual obligations are violated. Liability is limited to the amount of the contract value.
§ 9 Usage Rights
The Client receives a simple, temporally unlimited right of use to the created work results. The transfer of usage rights occurs upon full payment of the agreed remuneration.
§ 10 Termination
Consulting contracts can be terminated by both parties with 4 weeks' notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.
§ 11 Final Provisions
The law of the Federal Republic of Germany applies. Place of jurisdiction is Frankfurt am Main. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
